ManosPay Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of ManosPay and the manospay.com website (the "Service"), a web-based application for creating client records, jobs, proposals, invoices, payment records, and receipts. The Service is provided by LoopTwentyOne LLC, a Florida limited liability company doing business as ManosPay ("ManosPay," "we," "us," or "our").

By creating an account or accessing or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Who Can Use ManosPay

You must be at least 18 years old and have authority to bind the business you represent. You can sign up for an account yourself at manospay.com, or be added to an existing organization by its account owner.

3. What ManosPay Does and Does Not Do

ManosPay helps you create and manage clients, jobs, proposals, invoices, payment schedules, and receipts for your own business.

Card payments are processed by Stripe, not by ManosPay. If you turn on online card payments, they are processed by Stripe through Stripe Connect, subject to Stripe's own terms and onboarding requirements. ManosPay does not store credit card numbers, bank account numbers, or other payment card data, is not a bank or money transmitter, and does not hold your funds. ManosPay currently charges a platform fee of 0.5% of each card payment for businesses on the free plan, capped at $29.99 per month per organization; there is no ManosPay platform fee for businesses on paid plans, and none on ACH payments or on payments made outside the Service. If a card payment is refunded, the ManosPay fee is refunded in proportion. Stripe charges its own processing fees separately, directly to you. Stripe Connected Account Agreement. To accept card payments you must accept the Stripe Connected Account Agreement (https://stripe.com/legal/connect-account) when you set up your Stripe account; that agreement is between you and Stripe. You are the merchant of record for payments your clients make to you: ManosPay is not. Refunds and chargebacks (payment disputes) on those payments are your responsibility, handled between you, your client and Stripe.

Payments outside the Service. When you record a payment in ManosPay that you received another way (for example, "received $500 via Zelle" or "received $1,200 by check"), you are only creating a record of a transaction that took place outside the Service, through your own arrangement with your client. ManosPay has no role in, and bears no responsibility for, the actual transfer of funds between you and your clients.

4. Your Account

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use of your account.

5. Your Data

You retain ownership of all client information, job details, proposals, invoices, payment records, and other business data you enter into the Service ("Customer Data"). You are solely responsible for the accuracy of Customer Data and for ensuring you have the right to collect and store your clients' information.

We will not access, use, or disclose your Customer Data except (a) to provide and maintain the Service, (b) with your permission, (c) as required by law, or (d) as described in our Privacy Policy.

ManosPay offers a free plan and paid subscription plans. Current plans and prices are listed on our pricing page at manospay.com/en/pricing. Paid plans are billed through Stripe and renew automatically each billing period until canceled. You can cancel at any time from your account; cancellation stops future charges, and paid features remain available until the end of the period you already paid for. If we change prices or fees, we will notify you before the change applies to your account, and your continued use of paid features will constitute acceptance of the new amounts.

8. Intellectual Property

ManosPay, including its design, software, and branding, is owned by LoopTwentyOne LLC and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

9. Termination

We may suspend or terminate your access to the Service if you violate these Terms, or for any reason with reasonable notice. You may stop using the Service at any time. Upon termination, we will give you a reasonable opportunity to export your Customer Data, except where prohibited by law or where termination is for cause.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOPTWENTYONE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless LoopTwentyOne LLC from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including your own clients.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in Miami-Dade County, Florida.
